1. Acceptance of Terms

By creating an account or using NerdCRM, you confirm that you are at least 16 years of age, have the legal capacity to enter into these Terms, and agree to comply with all applicable laws and regulations.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

NerdCRM is a customer relationship management (CRM) platform that provides tools for managing contacts, companies, deals, sales pipelines, activities, reporting, and team collaboration. The Service is available as a web application and mobile application.

3. Accounts and Registration

To access the Service, you must register for an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activities that occur under your account.
• Promptly notifying us of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4. Subscriptions and Payments

NerdCRM offers both free and paid subscription plans. By subscribing to a paid plan:

• You agree to pay all applicable fees as described at the time of purchase.
• Subscriptions are billed on a recurring basis (monthly or annually) unless cancelled.
• Payments are processed through our third-party payment provider, Paddle. By making a payment, you also agree to Paddle's Terms of Service.
• Prices may change with prior notice. Existing subscriptions will be honoured at the current rate until the next renewal period.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation.
• Transmit any malicious code, viruses, or harmful data.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service for any unlawful, fraudulent, or deceptive purpose.
• Scrape, harvest, or collect data from the Service by automated means without our consent.
• Upload content that infringes on the intellectual property rights of others.

6. Intellectual Property

The Service, including its design, logos, text, graphics, and software, is the property of Nerddevs Ltd and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract the source code, unless permitted by law.

7. Data Ownership

You retain full ownership of all data you enter into NerdCRM ("Your Data"). We do not claim any ownership rights over Your Data.

By using the Service, you grant us a limited licence to process, store, and display Your Data solely for the purpose of providing and improving the Service. You may export or delete Your Data at any time.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may:

• Perform scheduled maintenance with reasonable advance notice.
• Experience occasional downtime due to unforeseen technical issues.
• Modify, suspend, or discontinue any feature of the Service at our discretion.

We are not liable for any loss or damage resulting from service interruptions.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
• We do not warrant that the Service will meet your specific requirements or expectations.
• In no event shall Nerddevs Ltd be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Our total aggregate liability for any claim arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

You may terminate your account at any time by contacting us or using the account deletion feature within the Service.

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach any provision of these Terms.
• Your use of the Service poses a security risk or may cause harm to other users.
• We are required to do so by law.

Upon termination, your right to use the Service ceases immediately. We may retain Your Data for a reasonable period to allow you to export it, after which it will be permanently deleted.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Bangladesh.

12. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will:

• Update the "Last updated" date at the top of this page.
• Notify you of material changes via email or through the Service.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
